RFP Background Vision and Purpose
The Department of Housing Stability’s (“HOST”) vision for this RFP is to support community needs by increasing affordable housing within the City and County of Denver and bring forward housing projects to Denver to align with the Mayor’s affordable housing goals. The purpose of the RFP is to identify qualified partners and connect them to development opportunities on City-owned land. The City invites qualified Respondents that choose to partner with the City on a variety of real estate projects and submit a proposal with the requirements outlined in this RFP. This RFP may be used for several sites, to be identified after qualified partners are selected. Each partner may choose one or all of the categories they feel confident in being qualified to pursue. Categories/subcategories of the projects are listed below.
Partners selected under this RFP will remain active through 12/31/2030. Respondents must state availability within this time period. Any additional partners brought into a project team must be disclosed and approved by the City prior to any agreement being signed between the City and the selected partner.
Scope of Work
Respondents must provide the requested information detailed in Section 1 of this RFP, detailing the size and type of development the organization is best suited to develop. Respondents must also provide evidence of and respond to inquiry about their expertise in the delivery of development of future projects. The lead Respondent and future property ownership entity may be a nonprofit or for-profit organization. If the intended development team consists of more than one entity seeking to partner in a development opportunity, they must submit a MOU describing the relationship between the respective partners. The City may request, at any time, additional information from the Respondent.
Respondents and any of their partners or contractors/vendors must disclose any legal issues, pending liens, lawsuits, litigation, etc. to the City prior to submission and within 30 days if after the submission. All parties must be in good standing with the Colorado Secretary of State. All parties must comply with all social ordinances.
The City will provide respondents with letters of award detailing acceptance or non-acceptance. Once the City makes available identified sites, the awarded partners will be offered, in order of qualification, the right of acceptance. Awarded partners will remain eligible to be offered Properties for up to five years. Once an opportunity has been identified, the City will reach out to the vetted partners to do a mini-bid based on the type of property to the corresponding partners that are qualified for those opportunities. This mini-bid will at a minimum include the following information:
• Information on the property development type and City requirements
• Timing
• Location and basic property information
Additional qualifying interviews and questionnaires may be conducted in the selection process. The Respondent may be offered an opportunity to tour the offered Property and will be expected to respond with acceptance or refusal within ten (10) business days. If accepted, the Respondent will be expected to complete additional due diligence (at their own expense) and execute the land lease or purchase and sale agreement within three months of the Accepted Date.
A draft Letter of Intent (LOI) will be drafted to the most qualified partner with terms to be negotiated with the Director of Real Estate within thirty (30) days of selecting a qualified partner for a site-specific opportunity.
Due diligence shall be conducted by the selected partner within the specified timeframe of the Agreement. This may include a survey and environmental reviews.
Minimum Qualifications
The applicant entity must meet minimum balance sheet requirements necessary to support acquisition, construction and demonstrate organizational financial health for long-term operations. Specifically, Respondents must have a positive or stable/consistent 3-year trailing trend of income, or a reasonable one-time event(s) interrupting this trend and must have a reasonable amount of contingent liabilities, with a low history of payout on construction guarantees. The City may consider balance sheet commitments from other Respondent Team members, depending on the partnership structure detailed in the submitted MOU.
The applicant team developer, owner, operator, and/or service providers must have experience closing construction and permanent financing and managing at least one comparable project in the State of Colorado serving the desired target population (or have experience with two comparable projects elsewhere in the United States outside of Colorado).
The applicant must show how they will be involved with community engagement.
Pre-Proposal Meeting
A pre-proposal conference will be conducted the date and time listed in the Schedule of Events, front page. This meeting will be conducted using the City’s Zoom meeting platform. This will be the only meeting to discuss this proposal request.
